Terms of Service

These Terms of Service govern access to and use of Chayton Technologies websites, software, Agents58, AI agents, automation capabilities and related services.

Effective date: September 16, 2026

1. Acceptance of These Terms

By creating an account, purchasing, accessing, or using the Services, you agree to these Terms and any policies expressly incorporated into them. If you use the Services for a business or other organization, you represent that you have authority to bind that organization.

If you do not agree to these Terms, do not use the Services.

2. Services Covered

Chayton Technologies develops technology and automation products, including Agents58. Depending on the customer's plan and configuration, Agents58 may provide AI-assisted advertising, lead management, customer communications, voice reception, sales assistance, appointment booking, analytics, checkout or order-processing capabilities, workflow automation and integrations with third-party services.

Features may be added, changed, limited, suspended or discontinued as the Services evolve, subject to applicable law and contractual commitments.

3. Business Accounts and Authorized Users

You must provide accurate account and billing information and keep it current. You are responsible for protecting credentials associated with your account and for activity performed by authorized users under your account.

You must promptly notify us if you reasonably believe an account, credential or integration has been compromised.

4. Plans, Pricing and Orders

Available features, usage allowances, billing intervals and prices are described at checkout, in an order form, or in another applicable purchase document. Different plans may have different limits or usage-based charges.

Before a recurring purchase is completed, applicable recurring charges, billing frequency and material subscription terms should be presented as part of the purchase flow.

5. Subscriptions and Automatic Renewal

If you purchase a recurring subscription, the subscription may automatically renew for the billing period disclosed at purchase until canceled, unless the applicable order states otherwise.

Where required by applicable law, we will provide required renewal terms before obtaining consent, obtain affirmative consent to the recurring arrangement, and provide an acknowledgment or other required information that can be retained by the customer.

Additional notices may be provided when required by law, including for certain renewals or material pricing changes.

6. Billing, Usage Charges and Taxes

You authorize applicable charges disclosed in your purchase flow or order. Some Services may generate variable third-party or usage-based costs, including AI processing, telecommunications, messaging, advertising, storage or other provider charges when expressly included in the applicable plan or pricing arrangement.

Applicable taxes may be added where required. You are responsible for maintaining a valid payment method when a paid Service requires one.

7. Cancellation

Recurring Services may be canceled through the cancellation method made available for the applicable plan or by another method identified in the purchase terms. Cancellation takes effect according to the terms disclosed for that subscription and applicable law.

We will not intentionally require customers to navigate unreasonable obstacles solely to prevent cancellation.

8. Refunds

Refund eligibility is governed by the Refund and Cancellation Policy presented on the Chayton Technologies website and any additional terms shown at purchase. Nothing in these Terms eliminates rights or remedies that cannot lawfully be waived.

9. Artificial Intelligence Disclosure

Agents58 and certain Chayton Technologies services use artificial intelligence and automated systems. When applicable, interactions may involve AI-generated or AI-assisted responses, recommendations, content, analysis or actions.

AI systems can make mistakes. Outputs may be inaccurate, incomplete, inappropriate, inconsistent or outdated. Customers must evaluate outputs and configure appropriate human review for decisions where an error could have significant consequences.

AI output is not a substitute for qualified legal, medical, financial, employment, safety or other professional advice.

10. Human Oversight and Customer Responsibility

The customer remains responsible for its business decisions, instructions, offers, pricing, advertising claims, customer communications and use of outputs generated through the Services.

Customers should establish human approval or review where appropriate, particularly before high-impact, irreversible, regulated or financially significant actions.

11. Advertising and Marketing Automation

Advertising features may assist with generating, managing or analyzing campaigns. Customers are responsible for the legality and accuracy of their advertisements, offers, targeting instructions, products and claims and for compliance with applicable advertising-platform rules.

Where the product provides approval controls before publication or spending, customers are responsible for reviewing the relevant campaign information before authorizing the action.

12. Calls, SMS, Email and Customer Communications

Some Services may initiate, receive or assist with telephone calls, text messages, email or other communications. The customer is responsible for using these capabilities only when it has the notices, permissions and consents required for its particular communications and recipients.

The customer is also responsible for complying with applicable telemarketing, recording, messaging, email and do-not-contact requirements. Chayton Technologies may impose technical or contractual safeguards on these capabilities.

13. Customer Data

As between the customer and Chayton Technologies, the customer retains its rights in data it lawfully provides to the Services. The customer grants us the rights reasonably necessary to host, process, transmit and otherwise handle that data to provide, secure, maintain and support the Services, subject to the Privacy Policy and applicable agreements.

The customer represents that it has the rights and lawful basis necessary to provide data and instructions to the Services.

14. Privacy and Security

Our handling of personal information is further described in the Chayton Technologies Privacy Policy. We use administrative, technical and physical measures designed to protect information appropriate to the nature of the Services and information involved.

No Internet-connected system can be guaranteed to be completely secure. Customers are responsible for appropriate security of their own systems, devices, credentials and authorized integrations.

15. Third-Party Services and Integrations

The Services may connect to third-party platforms such as AI providers, telecommunications providers, payment processors, advertising networks, calendar services, email providers, hosting services and other business systems.

Third-party services may be governed by their own terms, policies, availability and pricing. Chayton Technologies does not control independent third-party services and is not responsible for changes or interruptions caused solely by those providers, except to the extent otherwise required by law or expressly agreed in writing.

16. Acceptable Use

You may not use the Services to violate applicable law, infringe another person's rights, gain unauthorized access to systems or data, distribute malware, engage in fraud or deception, evade platform safeguards, or intentionally interfere with the operation or security of the Services.

You may not use the Services to send communications or process information that you are not legally permitted to send or process.

17. Intellectual Property

Chayton Technologies and its licensors retain their rights in the Services, software, interfaces, technology, documentation, branding and other proprietary materials, excluding customer-owned data and materials.

Subject to these Terms and payment of applicable fees, customers receive a limited, non-exclusive, non-transferable right to use the purchased Services during the applicable subscription or license period.

18. AI-Generated and Customer-Generated Content

Customers are responsible for reviewing content generated or processed through the Services before relying on, publishing or distributing it. Similar or identical outputs may be generated for different users, and AI output may not be unique.

These Terms do not guarantee that any particular AI-generated output is eligible for intellectual-property protection.

19. White-Label and Licensed Deployments

Certain future or separately contracted offerings may permit authorized customers or licensees to operate designated capabilities under their own brand. White-label rights exist only when expressly granted in a written order, license or other agreement.

A white-label arrangement does not transfer ownership of Chayton Technologies' underlying software, systems, intellectual property or proprietary technology unless expressly stated in a separate written agreement.

20. Availability, Maintenance and Support

We work to maintain reliable Services, but uninterrupted or error-free operation is not guaranteed. Maintenance, provider failures, Internet conditions, security events and other circumstances may affect availability.

Any specific service level or support commitment applies only if stated in the customer's applicable plan or written agreement.

21. Suspension and Termination

We may suspend or restrict access when reasonably necessary to address security threats, unlawful use, material violations of these Terms, nonpayment, risks to other customers or the Services, or requirements imposed by law or service providers.

Where appropriate and legally permitted, we may provide notice and an opportunity to resolve the issue.

22. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis. We do not guarantee that AI output will always be accurate or that the Services will be uninterrupted, error-free or suitable for every customer's particular purpose.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

23. Limitation of Liability

To the maximum extent permitted by applicable law, Chayton Technologies will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenues, goodwill or business opportunities arising from use of the Services.

Any additional limitation or monetary liability cap applicable to a paid plan may be stated in the applicable order or commercial agreement. Nothing in these Terms limits liability where such limitation is prohibited by law.

24. Indemnification

To the extent permitted by applicable law, business customers agree to defend and indemnify Chayton Technologies against third-party claims arising from the customer's unlawful use of the Services, customer-provided materials, violation of third-party rights, or material violation of these Terms, subject to any limitations contained in an applicable written agreement.

25. Changes to These Terms

We may update these Terms as the Services or legal requirements change. When required, we will provide notice of material changes. The effective date shown above identifies the current version.

Changes will not be applied in a manner that violates applicable notice, consent or contractual requirements.

26. Governing Law and Disputes

These Terms are intended to be governed by the laws of the State of New York, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Specific venue, dispute-resolution or arbitration provisions may be added to an applicable commercial agreement. No provision of these Terms is intended to eliminate a non-waivable legal right.

27. Electronic Communications

You agree that notices and transactional communications relating to the Services may be provided electronically where permitted by law. Marketing communications remain subject to applicable consent and opt-out requirements.

28. Contact

Questions about these Terms may be submitted using the contact information published on the Chayton Technologies website.

The company's formal legal identity and business contact information will be updated as appropriate following completion of company formation and before production use where required.
